1. Agreement to Terms

By accessing and using Curly Byte's website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

Curly Byte provides data engineering, data platform architecture, and technology consulting services including but not limited to:

• Cloud infrastructure design and implementation
• Data pipeline development and optimization
• Database design and management
• Business intelligence and analytics solutions
• Technology consulting and advisory services

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete project requirements
• Grant necessary access to systems and data as required
• Respond to requests for information in a timely manner
• Make timely payments according to agreed terms
• Comply with all applicable laws and regulations
• Maintain confidentiality of proprietary information

4. Payment Terms

Pricing and Invoicing

• All prices are quoted in Euros (EUR) unless otherwise specified
• Invoices are typically issued monthly or upon project milestones
• Payment is due within 30 days of invoice date
• Late payments may incur interest charges of 1.5% per month

Project Changes

Changes to project scope will be documented and may result in additional charges. All scope changes must be agreed upon in writing before implementation.

5. Intellectual Property

Client Data and IP

You retain all rights to your data and pre-existing intellectual property. We claim no ownership over your content or data.

Work Product

Custom code, configurations, and documentation created specifically for your project will be transferred to you upon full payment, unless otherwise agreed.

Our IP

We retain rights to our methodologies, frameworks, general knowledge, and any pre-existing intellectual property.

6. Confidentiality

We understand that during our engagement, we may have access to confidential information. We commit to:

• Maintain strict confidentiality of all client information
• Use information only for the purpose of providing services
• Implement appropriate security measures
• Not disclose information to third parties without consent
• Return or destroy confidential information upon request

7. Limitation of Liability

Our liability for any claim related to our services is limited to the amount paid for the specific service giving rise to the claim. We are not liable for:

• Indirect, consequential, or punitive damages
• Loss of profits, revenue, or business opportunities
• Data loss not caused by our gross negligence
• Third-party actions or services
• Force majeure events beyond our control

8. Termination

By Either Party

Either party may terminate the agreement with 30 days written notice. In case of material breach, termination may be immediate upon written notice.

Effect of Termination

• Payment for work completed up to termination date
• Return of confidential information
• Delivery of work product (upon payment)
• Cessation of access to client systems

9. Warranties and Disclaimers

We warrant that our services will be performed with professional skill and care. However, we provide services "as is" and disclaim all other warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

10. Governing Law

These terms are governed by German law. Any disputes will be subject to the exclusive jurisdiction of German courts.

11. Changes to Terms

We reserve the right to modify these terms at any time. Updated terms will be posted on our website with the effective date. Continued use of our services constitutes acceptance of the modified terms.
